TERMS OF SERVICE — Alternate

These Terms of Service govern your use of alternateco.com and any services provided by Alternate Creative Agency. By engaging our services you agree to these terms.

1. Services

Alternate provides technology and creative services including but not limited to: web development, UI/UX design, brand building, social media management, generative AI development, and digital marketing. All services are scoped via a written Statement of Work (SOW) agreed before commencement.

2. Payment Terms

Project-based work: 50% advance, 50% on delivery (or per milestone schedule in SOW).
Monthly retainers: invoiced on the 1st of each month, due within 7 days.
Late payments attract interest of 1.5% per month after a 14-day grace period.
All prices are exclusive of applicable taxes unless stated otherwise.

3. Intellectual Property

Upon receipt of full payment, all custom work product created exclusively for the client transfers to the client. We retain the right to showcase completed work in our portfolio unless the client requests confidentiality in writing. Third-party assets (fonts, stock images, open-source libraries) remain subject to their own licenses.

4. Revisions & Scope

Each project includes a defined number of revision rounds per SOW (typically 2 rounds per deliverable). Additional revisions or scope changes are billed at our current day rate, agreed in writing before work begins.

5. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. We routinely sign NDAs on request before discovery calls. Client data is never shared with third parties except as required to deliver the project.

6. Liability

Our total liability in connection with any project shall not exceed the total fees paid by you for that specific project. We are not liable for indirect, consequential, or special damages. Website uptime and third-party platform outages (hosting, APIs) are outside our control after delivery.

7. Termination

Either party may terminate with 14 days' written notice. On termination, you pay for all work completed to date. Deposits are non-refundable. We will deliver all completed work product upon final payment.

8. Governing Law

These terms are governed by the laws of India. Disputes shall be resolved first through good-faith negotiation, then binding arbitration in Bangalore, Karnataka under the Arbitration and Conciliation Act 1996.
